Management Incentives

The Company intends to employ a variety of performance-based remuneration tools, including but not limited to:

  • Options;
  • Performance options;
  • Performance shares; and
  • Other remuneration instruments as required.

Performance Shares to Management

24,000,063 performance shares will convert to fully paid ordinary shares upon the achievement of the Milestones as follows:

  1. Milestone 2 (4,500,013): The agreed ‘security mobile application’ being developed and either:
    A: Adopted by one rail operator; or
    B: Achieving a minimum of 200,000 subscribers
  2. Milestone 3 (4,500,013): XTD Limited generating net revenue of at least $5.0 million in any 12 month period
  3. Milestone 4 (15,000,037): XTD Limited contract of at least 40 screens and that contract being installed and generating revenue to XTD Limited
